BURBANK, Calif. & NEW YORK, Aug 31, 2009 (BUSINESS WIRE) -- --Acquisition highlights Disney's strategic focus on quality branded content, technological innovation and international expansion to build long-term shareholder value

Building on its strategy of delivering quality branded content to people around the world, The Walt Disney Company (DIS) has agreed to acquire Marvel Entertainment, Inc. (MVL) in a stock and cash transaction, the companies announced today.

Under the terms of the agreement and based on the closing price of Disney on August 28, 2009, Marvel shareholders would receive a total of $30 per share in cash plus approximately 0.745 Disney shares for each Marvel share they own. At closing, the amount of cash and stock will be adjusted if necessary so that the total value of the Disney stock issued as merger consideration based on its trading value at that time is not less than 40% of the total merger consideration.

Based on the closing price of Disney stock on Friday, August 28, the transaction value is $50 per Marvel share or approximately $4 billion.

"This transaction combines Marvel's strong global brand and world-renowned library of characters including Iron Man, Spider-Man, X-Men, Captain America, Fantastic Four and Thor with Disney's creative skills, unparalleled global portfolio of entertainment properties, and a business structure that maximizes the value of creative properties across multiple platforms and territories," said Robert A. Iger, President and Chief Executive Officer of The Walt Disney Company. "Ike Perlmutter and his team have done an impressive job of nurturing these properties and have created significant value. We are pleased to bring this talent and these great assets to Disney."

"We believe that adding Marvel to Disney's unique portfolio of brands provides significant opportunities for long-term growth and value creation," Iger said.

"Disney is the perfect home for Marvel's fantastic library of characters given its proven ability to expand content creation and licensing businesses," said Ike Perlmutter, Marvel's Chief Executive Officer. "This is an unparalleled opportunity for Marvel to build upon its vibrant brand and character properties by accessing Disney's tremendous global organization and infrastructure around the world."

Under the deal, Disney will acquire ownership of Marvel including its more than 5,000 Marvel characters. Mr. Perlmutter will oversee the Marvel properties, and will work directly with Disney's global lines of business to build and further integrate Marvel's properties.

The Boards of Directors of Disney and Marvel have each approved the transaction, which is subject to clearance under the Hart-Scott-Rodino Antitrust Improvements Act, certain non-United States merger control regulations, effectiveness of a registration statement with respect to Disney shares issued in the transaction and other customary closing conditions. The agreement will require the approval of Marvel shareholders. Marvel was advised on the transaction by BofA Merrill Lynch.

Ooh, maybe we can finally get a Donald Duck/Howard the Duck crossover (at the very least, maybe Howard can go back to not wearing pants).

Though...holy crap. Warner Bros. owns DC. Now Disney is about to own Marvel. ...I think I need to go lie down.
 
Fuck. Now that Disney owns marvel I have no more faith in the world. But hey SE now has an excuse to put Manhattan or a Marvel World in Kingdom Hearts now!

So what's next? Is Paramount gonna buy out IDW? (I'm kidding..... more or less.)

Idiot question: what does this mean for the theme park business? Marvel's got slag over at Universal Studios; does this mean that those attractions will go bye-bye only to pop up again at the Disney parks? Or will those attractions remain but the royalty fee for them simply increase? I'm just curious.

Prime is gonna crap his pants when he hears this. He cannot stand Disney and does not want to support them in any fashion. (You should have heard his protests when TakaraTomy started a line of Disney Transformers in Japan.) Now he's going to be handing money over to the mouse on a weekly basis. He is not going to be happy about this at all.

In all honesty I'm not crazy about it either. I myself don't like supporting Disney. I'm not saying the company is evil, I just don't really like them. So I can't say I'm too pleased about it. =/

Honestly, I don't see this being as bad as everyone seems to think. It's not like Marvel's having problems right now. Between selling more comics every month than any other company (in fact...I think they're selling more than EVERY other company...combined), and the movies all being smash hits...Disney would have to have a huge screw loose to make any real changes beyond adding more of the cartoons to their cartoon channel and marketing the crap out of Marvel's stuff. I'm definitely going to keep an eye on this...but I honestly don't see this ending up any worse than Warner Bros. owning DC. Though, hopefully, every Marvel movie won't be made by Disney. Marvel's had a lot of luck sending their movies out to a lot of companies, while DC's been stuck in a shithole because every movie has to go through Warner Bros.
 
I don't think it's bad, per se. I just don't really like Disney. That's my (and Prime's) problem. So I can't say we're thrilled over this.

Though I gotta wonder if we'll be seeing Rogue or Spidey at Disney World anytime soon.
